Confidentiality and Non-Competition Agreement between PrintYorkshirePortal.co.uk (“us/we”)
and Supplier ("you/your")
By accepting orders placed on the PrintYorkshirePortal.co.uk, you accept the following confidentiality obligations (together the"Agreement") concerning print services to be provided to the Purchaser (the "customer").
1. Confidentiality In consideration of orders through PrintYorkshirePortal.co.uk you undertake not to disclose to the Customer or any third party the details of any agreement between you and us. The obligations of confidentiality under this Agreement shall not apply to any information or material which: is hereafter disclosed to you without any
obligations of confidence by a third party who has not obtained the information directly or indirectly from us; or is or becomes generally available to the public through no act or default on our part or on the part of our agents or employees; or, subject to clause 4 below, is required by law to be disclosed. You will at all times during the continuance of this Agreement and after its termination use your best endeavours to keep any financial information confidential and you shall not disclose it to any other person. You shall not use any of the confidential information for any purpose other than the performance of your obligations under this Agreement.
2. Non-competition You agree in relation to the Customer that you will not for a period of one year from the date of this agreement directly or indirectly solicit or contract with that Customer other than through PrintYorkshirePortal.co.uk. You consider the period of one year to be reasonable and the one year period runs from the date of the latest order from that Customer to you.
3. Obligations on you also to apply to your group companies In this agreement references to you are to your company and any company in your Group. You undertake that any obligations in this agreement will be binding on all companies in your Group and any associated companies.
4. General This Agreement contains the entire agreement between us in respect of the subject matter of it and supersedes all previous agreements and understandings between us with respect to it save that this clause shall not apply to any agreement or representation made fraudulently and this Agreement may not be modified except by an instrument in writing signed by each party's authorised representatives. You do not rely on any representation warranty or other provision except as expressly provided in this Agreement. If any provision of this Agreement is held by any court or other competent authority to be void or unenforceable in whole or in part this Agreement shall continue to be valid as to its other provisions The obligations of confidentiality and non-competition survive any termination. The waiver or forbearance or failure of either of us in insisting upon the performance of any provisions of this Agreement shall not be construed as a waiver or relinquishment of our or your rights. You will not divulge information which is confidential without an order from a Court of competent jurisdiction. You will give us at least seven days’ notice in writing of any application to the Court by any other person for an order requiring you to disclose to them information which is confidential in accordance with this Agreement. You will not apply to the Court for such an order yourselves unless you give us seven days notice in writing of your intention to do so. You will notify the Court of your obligation of confidentiality to us, and shall exercise your best endeavours to give us an opportunity to make representations to the Court as to why the confidential information should not be disclosed.
This agreement is governed by English law and is subject to the non-exclusive jurisdiction of the Courts of England and Wales.
Payment
Cash or Personal Cheque with Bankers Card, all major Credit/Debit Cards, Bankers Draft or BACS Transfer are all acceptable methods of payment. Our Terms are 7.5% of the invoiced amount excluding VAT, payment in full within thirty days, for organisations that fall within the Yorkshire and Humber region, and 10% for organisations transacting business outside of the Yorkshire and Humber Region. For the purposes of this paragraph, the Yorkshire and Humber region consists of all areas falling within the boundaries covered by Yorkshire Forward .
Monies that remains outstanding by the due date will incur late payment interest at the rate of 2% above the prevailing Bank of England's base rate on the outstanding balance until such time as the balance is paid in full and final settlement. We reserve the right to seek recovery of any monies remaining unpaid sixty days from the date of invoice via collection Agencies and/or through the Small Claims Court in the event that the outstanding balance does not exceed £3000. In such circumstances, you shall be liable for any and all additional administrative and/or court costs.
Returned cheques will incur a £25 charge to cover banking fees and administrative costs. In an instance of a second Returned cheque, we reserve the right to terminate the arrangement and, if agreed to, we shall insist on future cash transactions only. Consequently, all bookings and/or transactions and agreements entered into will cease with immediate effect until such time as any and all outstanding monies are recovered in full.
